1.

I have examined the accompanying Ordinance intituled

an Ordinance to make provision with regard to the execution of

instruments under seal by the agents of certain foreign corporations,

and I am of opinion that the Ordinance is one which is not contrary to the

Governor's Instructions.

2.

Speaking shortly, the Ordinance provides that a power of

attorney given by a foreign corporation need not be under seal for
